Methodology
- UBO defined under Law 308/2017 on the prevention and combat of money laundering. The disclosure threshold is 25% direct or indirect ownership of capital or voting rights.
- Indirect ownership = product of percentages along the chain from the individual to the Moldovan SRL.
- ASP (Agenția Servicii Publice) filing is due at incorporation and within 15 days of any change.
- Nominee structures do not shield the UBO. The underlying natural person remains disclosable.
- Trusts and foundations have separate disclosure rules — the settlor, trustees, protector, and beneficiaries may each qualify. See the linked guide.
- If no individual reaches 25%, the senior management officer of the Moldovan SRL is disclosed as the UBO by default.
What this does not do
- Indicative only. This tool models percentage-based control. It does not model voting agreements, golden shares, contractual control, beneficial-ownership-by-other-means, trust/foundation arrangements, or family-related aggregation rules that ASP may apply.
