Company Formation

Moldovan SRL Formation

Registered correctly. From the start.

We handle the full ASP (Agenția Servicii Publice) dossier: articles of incorporation, founder declarations, IDNO issuance, and the post-registration tax setup with SFS, CNAS, and CNAM (handled automatically by ASP after filing). Every document is reviewed by a Moldovan lawyer before submission. The founder does not need to travel; we act under a power of attorney notarised and apostilled in the founder's country of residence. Supporting documents are accepted as scans or as physical copies, whichever the client prefers.

Legal architecture

Articles of incorporation drafted to your activity codes, ownership structure, and intended tax regime. Not a template, a document reviewed by a qualified Moldovan lawyer before filing.

ASP submission

We manage the full dossier: articles, founder declarations, registration form, power of attorney, and supporting evidence. Submitted to ASP on the basis of Law 135/2007. Errors at the Register cause days of delay; we eliminate them before submission.

Tax regime decision

Standard SRL with 0% on reinvested profits (for SMEs through 2026), the 4% simplified turnover regime, MITP placement at 7%, or FEZ residence at 6%. We model the right regime against your projections before incorporation.

Post-formation handover

IDNO certificate, articles in Romanian and English translation, share register and resolution templates, registered address coordination, and a written summary of first-month obligations. You leave with a working company, not a folder.

Real Moldovan banks. SEPA-connected since October 2025.

For non-resident founders, opening a Moldovan business bank account is the longest step in the engagement. We prepare the full dossier, brief the relationship manager in advance, and accompany the application through compliance review. We work across the SEPA-connected Moldovan banks selected for their openness to non-resident UBOs and multi-currency accounts.

Bank selection

We match your profile, nationality, business activity, transaction volume, and account purpose to the most appropriate institution among Maib, Moldindconbank, Victoriabank, OTP, EximBank, and ProCredit. Bank selection is upstream of dossier preparation, not an afterthought.

Compliance pre-briefing

Banks reject non-resident applications most often on AML grounds. We pre-screen your profile against each bank's known risk appetite and ensure the dossier addresses likely objections before submission, with proper UBO and source-of-funds documentation under Law 308/2017.

Multi-currency dossier

Certified incorporation documents, UBO declarations, business plan summary, proof-of-funds, and source-of-funds narratives. Accounts opened in MDL, EUR, and USD where appropriate. SEPA-connected operations from day one (effective 6 October 2025 across the Moldovan banking sector).

Online banking from day one

All partner banks offer internet and mobile banking with multi-user authorisation, SWIFT, and SEPA SCT/SCT Inst capability. We coordinate activation as part of the engagement.

EU EMIs, midshore, and offshore for complex profiles.

Crypto, gaming, forex, fintech, and other high-risk sectors face systematic friction with mainstream banks across Europe. We bridge to institutions and EMIs that have an explicit appetite for the activity and a real compliance framework to absorb it. Honest about which jurisdictions and profiles work; honest about which do not. No "we get any account" claims.

Profile-to-institution match

Each high-risk vertical has a different banking landscape. Crypto exchanges, EMI applicants, licensed gaming operators, forex/CFD brokers, and payment processors all need different counterparts. We match the profile to institutions where the application has a credible probability of success.

EU EMI options

For working-capital banking, EU-licensed EMIs (Lithuania, Poland, Bulgaria) often onboard cleanly where traditional banks decline. We map the EMI route alongside the bank route and recommend the most cost-effective combination.

Midshore and offshore

Where EU options are blocked, midshore (Cyprus, Bulgaria, Georgia, Armenia) and reputable offshore institutions (Mauritius, BVI) remain practical. Each carries distinct compliance and operational trade-offs we discuss before any introduction.

Source-of-funds and UBO file

For high-risk profiles, the application stands or falls on the SoF/SoW dossier and the UBO file. We build both to the standard the receiving institution actually requires, not a generic template.

Business Licensing

Business Licensing in Moldova

CNPF authorisations and sector-specific permits.

Moldova's Law on Regulation of Entrepreneurial Activity defines the categories that require licensing before operation. Financial services and capital markets fall under CNPF (Comisia Națională a Pieței Financiare). Telecoms and certain IT activities fall under ANRCETI. Specific sectors (medical, transport, education, energy, gaming) each have their own supervisor. We scope the licensing requirement before formation, then manage the full authorisation pipeline.

Licence scoping

We determine the correct authorisation category for your activity, map the applicable capital, staffing, and operational requirements, and outline the realistic timeline before any fees are committed. Many activities require no licence at all; we say so when that is the case.

Compliance framework

CNPF and sector regulators expect a functioning AML programme, internal control framework, and operational procedures at the point of application. We build these in line with Law 308/2017 and the relevant sector regulation, not just reference them.

Fit-and-proper management

Key function holders must pass the regulator's fit-and-proper assessment. We prepare supporting documentation for directors and compliance officers and brief them on expected interview topics.

Ongoing regulatory support

Authorisation is the beginning, not the end. We offer retained regulatory correspondence management, periodic reporting, and material change notifications to keep your licence in good standing.

Residence

Residence in Moldova

Investor, IT specialist, employment-based.

For founders who want a Moldovan residence permit alongside the Moldovan SRL, three routes apply. Investor residence requires equity in a Moldovan legal entity equivalent to 30 forecast average monthly salaries plus one created job. The MITP IT specialist visa carries a simplified procedure for IT managers and engineers. Employment-based permits cover relocating teams. We coordinate the application at the Bureau for Migration and Asylum and document the substance file.

Investor residence

Capital deployment threshold: shares or equity in a Moldovan legal entity equivalent to 30 forecast average monthly salaries, plus at least one created job at the average forecast salary. We structure the investment, document the source of funds, and coordinate the BMA filing.

MITP IT specialist visa

Simplified procedure for IT managers and specialists employed by an MITP-resident company. Validity up to 4 years for managers; renewable. Requires medical insurance with €30,000 minimum coverage. We coordinate alongside the IT Park residency application.

Employment-based permits

For relocating teams, employment-based permits cover non-IT roles where MITP does not apply. Documentation, employment contract structuring, and BMA coordination handled in-house.

Path to permanent

Five years of continuous lawful residence opens the path to permanent residence and, ultimately, naturalisation. We sequence the renewals and document the residence ties to keep the path clean.
